Terms of Service

Thank you for using SalesAlly! We built this product to help you (our customers) provide the best automated support for your buyers.
Because we don’t know every one of our customers personally, we have to put in place some Terms of Service (ToS) to help keep the ship afloat.
When we say “Company”, “we”, “our”, or “us” in this document, we are referring to OIKOSO.LTD, the legal entity operating SalesAlly Studio and the SalesAlly service.
When we say “Services” in this document, we mean the proprietary AI backend, API, and related infrastructure created and maintained by OIKOSO.LTD. This includes our websites (e.g., woosalesally.com) and all backend systems used for processing and synchronizing data.
When we say “Plugin” in this document, we mean the SalesAlly WordPress Plugin. The plugin is a GPL-licensed client application that you install on your WordPress website to connect to our “Services”.
When we say “You” or “your” in this document, we are referring to the people or organizations that own an account with our “Services” and have installed the “Plugin” on their website (i.e., the “Client”).
We may update these Terms of Service (“Terms”) in the future. Whenever we make a significant change to our policies, we will refresh the date at the top of this page and take any other appropriate steps to notify account holders.
When you use our “Services”, now or in the future, you are agreeing to the latest “Terms”. There may be times where we do not exercise or enforce a right or provision of the “Terms”; however, that does not mean we are waiving that right or provision. These “Terms” do contain a limitation of our liability.
If you violate any of the “Terms”, we may terminate your account.
1. Account Terms
- You are responsible for maintaining the security of your
woosalesally.comaccount and password. OIKOSO.LTD cannot and will not be liable for any loss or damage from your failure to comply with this security obligation. - You may not use the “Services” for any purpose outlined in our Use Restrictions policy, or for any illegal or unauthorized purpose. You must not, in the use of the “Services”, violate any laws in your jurisdiction (including but not limited to copyright laws).
- You are responsible for all content posted to and activity that occurs under your account, including content posted by and activity of any users in your account, as well as data synchronized from your WooCommerce store and conversations generated by buyers.
- You must be a human. Accounts registered by “bots” or other automated methods are not permitted.
2. Payment, Refunds, and Plan Changes
- If you are using a free version of one of our “Services”, it is really free: we do not ask you for your credit card and — just like for customers who pay for our “Services” — we do not sell your data.
- For paid “Services” that offer a free trial, we explain the length of trial when you sign up. After the trial period, you need to pay in advance to keep using the “Service”. If you do not pay, we will freeze your account and it will be inaccessible until you make payment.
- If you are upgrading from a free plan to a paid plan, we will charge your card immediately and your billing cycle starts on the day of upgrade. For plan upgrades or downgrades, the new rate will take effect immediately. We will charge or refund the difference between the new and old plans on a prorated basis based on the remaining time in your current cycle.
- All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities. Where required, we will collect those taxes on behalf of the taxing authority and remit those taxes to taxing authorities. Otherwise, you are responsible for payment of all taxes, levies, or duties.
- We process refunds according to our http://woosalesally.com/refund-policy/.
3. Cancellation and Termination
- You are solely responsible for properly canceling your account. You can cancel your subscription by logging into your account at
woosalesally.com. An email or phone request to cancel your account is not automatically considered cancellation. - Data Deletion: Upon subscription termination, all of your content on our servers (including your AI knowledge base and buyer conversation logs stored by us) will be permanently deleted from active systems within 10 days and from our backups within 10 days. This deletion does not affect any data copies stored in your own WordPress database (e.g., your copy of conversation logs).
- If you cancel the “Service” before the end of your current paid up month, your cancellation will take effect immediately, and you will not be charged again.
- We have the right to suspend or terminate your account and refuse any and all current or future use of our “Services” for any reason at any time. Termination will result in the deletion of your account or your access to your account, and the forfeiture and relinquishment of all content in your account stored on our servers. We reserve the right to refuse the use of the “Services” to anyone for any reason at any time.
4. Modifications to the Service and Prices
- We reserve the right at any time to modify or discontinue, temporarily or permanently, the “Services” (or any part thereof) with or without notice.
- Prices of the “Services” (including but not limited to subscription plans or AI Session top-ups) are subject to change.
5. Uptime, Security, and Privacy
- Your use of the “Services” is at your sole risk. We provide these “Services” on an “as is” and “as available” basis. We take uptime of our “Services” seriously.
- We reserve the right to temporarily disable your account if your usage significantly exceeds the average usage of other customers of the “Services” (e.g., excessive API calls), to protect the overall performance of the system.
- We take many measures to protect and secure your data through backups, redundancies, and encryption. We enforce encryption for data transmission from the public Internet.
- Data Processing and Roles: When you use our “Services”, you entrust us with your data. You agree that OIKOSO.LTD may process your data only as described in our http://woosalesally.com/privacy-policy/ and our http://woosalesally.com/data-processing-agreement/ (insert link here) and for no other purpose.
- GDPR/CCPA: Under the GDPR and CCPA, you (the Client) are the Data Controller, and OIKOSO.LTD is the Data Processor. We process your buyers’ data only on your behalf and according to your instructions.
- Data Access Rights: Our personnel may access your data for the following reasons:
- To help you with support requests you make. We’ll ask for express consent before accessing your account.
- On the rare occasions when an error occurs that stops an automated process partway through. We get automated alerts when such errors occur. If we have to look at a minimum amount of personal data to fix the issue, we do so in rare cases.
- To safeguard OIKOSO.LTD. We’ll look at logs and metadata as part of our work to ensure the security of your data and the “Services” as a whole.
- To the extent required by applicable law. As a company incorporated in the United Kingdom (UK), we only preserve or share customer data if compelled by a legally binding order under the laws of England and Wales, or in limited circumstances in the event of an emergency request.
- Sub-processors: We use third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the “Services”. You can see a list of all sub-processors who handle personal data on our http://woosalesally.com/sub-processor-list/.
- DPA Incorporation: These “Terms” incorporate the OIKOSO.LTD Data Processing Agreement (“DPA”) by reference. When the EU GDPR or other applicable data protection laws apply to your use of the “Services” to process Customer Data, the DPA shall apply.
6. Copyright and Content Ownership
- Your Content Belongs to You: We claim no ownership rights over your “Business Data” (products, coupons, web content synchronized via WooCommerce API) or your “Buyer Data” (conversation logs, buyer PII). All materials you submit to the “Services” remain yours.
- Limited License We Need: In order to provide the “Services” to you, you grant us a limited, worldwide, non-exclusive, royalty-free license to use, copy, modify (e.g., formatting for the knowledge base), process, and store such data, solely for the purpose of operating the SalesAlly service (i.e., training the AI and answering buyer questions).
- Our Content Belongs to Us: OIKOSO.LTD or its licensors own all right, title, and interest in and to the “Services” (backend, API, AI logic) and the “Plugin” (GPL licensed code), including all intellectual property rights therein. You obtain no ownership rights in the “Services” as a result of your use.
- You may not duplicate, copy, or reuse any portion of the HTML, CSS, JavaScript, or visual design elements of the “Services” without express written permission from OIKOSO.LTD. The “Plugin” code is governed by the GPL license (please refer to our http://woosalesally.com/License-and-Open-Source-Statement/.
- You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the “Services”, use of the “Services”, or access to the “Services” without the express written permission of OIKOSO.LTD.
7. Service Adaptations and API Terms
- The “Plugin” uses our API to connect to the “Services”.
- WooCommerce API Authorization: To use the “Services”, you must provide your WooCommerce REST API keys in the “Plugin”. You hereby authorize OIKOSO.LTD (through our servers) to use these keys to access and synchronize your “Business Data” as described in these “Terms” to create and maintain the AI knowledge base.
- You are responsible for maintaining the confidentiality and security of your WooCommerce REST API keys. OIKOSO.LTD cannot and will not be liable for any loss or damage from key compromise.
- Abuse or excessively frequent requests to the “Services” via the API may result in the temporary or permanent suspension of your account’s access to the API.
8. Liability
- You expressly understand and agree that OIKOSO.LTD shall not be liable, in law or in equity, to you or to any third party for any direct, indirect, incidental, lost profits, special, consequential, punitive or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if OIKOSO.LTD has been advised of the possibility of such damages).
- AI Disclaimer: You understand that the “Services” use generative AI, which may produce inaccurate, incomplete, or “hallucinated” responses. OIKOSO.LTD makes no warranty regarding the accuracy, completeness, or reliability of any information provided by the AI. OIKOSO.LTD shall not be liable for any loss or damage resulting from reliance on AI responses.
- GPL Disclaimer: The “Plugin” is provided “as is” without warranty of any kind, either expressed or implied, consistent with the requirements of the GPL license.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
